First: Scope of Services

The Customs Broker provides customs clearance services exclusively in the capacity of an agent acting on behalf of the client before the competent authorities. The Broker is not considered a carrier, warehouse operator, cargo insurer, or responsible for any other logistical services unless explicitly agreed upon in writing.

Second: Client Obligations

The client is obligated to the following:

  • Provide all required documents accurately, completely, and truthfully.

  • Accurately disclose the nature, value, and quantities of the goods.

  • Comply with all applicable laws and regulations.

The client is solely responsible for any fines and penalties imposed by the relevant authorities.

Furthermore, the client bears sole responsibility for any damages resulting from the submission of incorrect documents, false declarations regarding the goods, or violations of applicable laws and regulations.

Third: Legal Compliance

The client is obligated to ensure that all shipments and documents comply with relevant national and international laws and regulations, bearing full legal liability for any violations thereof.

Fourth: Fees and Expenses

The client shall bear all fees and expenses associated with the clearance process, including but not limited to:

  • Demurrage charges

  • Storage fees

  • Warehousing fees

  • Port and terminal charges

This applies regardless of the cause of the delay.

Fifth: Limitation of Liability

The Customs Broker’s liability is limited strictly to direct damages resulting from gross negligence or clear misconduct on their part. This liability does not extend to indirect damages, loss of profits, or delays beyond their control.

Sixth: Force Majeure

The Customs Broker shall not be held liable for any delays or failures resulting from force majeure (circumstances beyond their control), including but not limited to:

  • Wars

  • Natural disasters

  • Strikes

  • Sudden governmental decrees

Seventh: Payment Terms

The client is required to settle all agreed-upon fees and financial dues within the specified timeframe. In the event of delayed payment, the Customs Broker reserves the right to suspend services and withhold goods, without prejudice to their right to claim all outstanding dues through legal channels until the amounts are fully settled.

Eighth: Governing Law

These terms and conditions, along with all services provided hereunder, shall be governed by and construed in accordance with the applicable laws and regulations of the Syrian Arab Republic.

Ninth: Dispute Resolution and Jurisdiction

In the event of any dispute or disagreement arising from or relating to these terms and conditions or the services provided, both parties commit to seeking an amicable resolution through good-faith negotiations within a reasonable timeframe. Should an amicable settlement not be reached, the dispute shall be referred to the competent judicial authorities of the Syrian Arab Republic, with the courts of Latakia having exclusive territorial jurisdiction.
